Affiliate Program Terms

These Affiliate Program Terms (the "Affiliate Terms") are a contract between you and AwesomeAI Inc ("AwesomeAI", "we", "us"), the operator of HiloVoice. You accept them when you submit an affiliate application, and again whenever we ask you to accept a new version.

The Affiliate Terms add to our Terms of Service, which also apply to your HiloVoice account. Where the two conflict on the Affiliate Program, the Affiliate Terms control.

If you join on behalf of a company, you confirm you can bind that company, and "you" means the company.

The commission rate or amount, how long a referral keeps earning, the eligible plans, the attribution window, the holding period, the minimum payout and the payout schedule (together, the "Program Details") are set by us and shown on the Affiliate Program page and in your affiliate dashboard. The Program Details form part of these Affiliate Terms.

We may assign you different Program Details from the standard ones. If we do, the Program Details shown in your dashboard apply to you.

A commission is calculated with the Program Details in effect when it is earned. Later changes don't alter commissions already recorded.

You must be at least 18, have a HiloVoice account, and give accurate application details. We may approve or decline any application at our discretion, and may review applications by hand before approving them.

You may hold one affiliate account. Our employees and contractors may not join without our written permission.

You can only earn commissions while your affiliate account is approved.

Approved affiliates receive unique referral links. When someone clicks your link, we record the click and place a cookie in their browser so we can credit a signup within the attribution window. When they create a HiloVoice account, we credit that account to you on our systems.

Unless the Program Details say otherwise, the last eligible affiliate link clicked before signup gets the credit. Once a referred account has earned a commission, we don't move it to another affiliate.

A referral counts only if it is a genuine new business customer that signed up through your link. We decide attribution from our own records, and our decision is final, though you can ask us to review it.

Referrals don't count if they were already HiloVoice customers (unless the Program Details say otherwise), if they signed up without your link, if they were created by our staff, or if they are you or someone acting for you.

You earn a commission when a referred customer pays for an eligible HiloVoice plan, under the Program Details. Commissions are based on what we actually collect, excluding taxes, credits, discounts and refunds.

Free trials and unpaid invoices earn nothing. A commission starts as pending and becomes available after the holding period, which gives time for refunds and disputes.

If a payment is refunded, charged back or reversed, we reverse the matching commission. If it was already paid, we deduct it from your future commissions.

Each commission is recorded with how it was calculated, so you can see it in your dashboard.

We pay available commissions on the schedule in the Program Details, once your balance reaches the minimum payout. Balances below the minimum carry over.

Payouts are made through Stripe Connect. You'll set up a Stripe account through Stripe's own pages, and must keep it in good standing to receive payouts. We don't store your bank details. Stripe's terms apply to your Stripe account.

We may hold a payout while we review suspected fraud or a breach of these Affiliate Terms. We'll tell you why when we can.

Payouts are made in the currency shown in your dashboard.

You are responsible for any taxes on your commissions. You may need to give tax information, through Stripe or to us, before we can pay you, and we or Stripe may issue tax forms where the law requires.

You are an independent contractor. Nothing in these Affiliate Terms makes you our employee, agent, partner or joint venturer, and you may not make commitments on our behalf.

Promote HiloVoice honestly. Describe only what the product does, as shown on our website, and never promise results, prices or features we don't offer.

You must clearly disclose that you may earn a commission when you recommend HiloVoice, as advertising laws such as the FTC's Endorsement Guides require.

You may not:

• Send spam or unsolicited messages, or promote HiloVoice in breach of email, text or calling laws.
• Pretend to be HiloVoice or AwesomeAI, or suggest you speak for us.
• Bid on HiloVoice brand terms in paid search, or run paid ads using our name, unless the Program Details or written permission from us allow it.
• List HiloVoice on coupon or deal sites, or offer discounts or codes we haven't given you.
• Pay or reward people for signing up, or create accounts to earn commissions.
• Use cookie stuffing, hidden links, pop-unders, bots, or anything else that creates clicks or credit without a real person choosing to visit.
• Promote HiloVoice on sites with illegal, hateful, adult or deceptive content.

If the Program Details include extra rules about paid ads or other channels, those rules apply too.

While you are approved, you may use the HiloVoice name, logo and materials we give you in the affiliate toolkit, only to promote HiloVoice and only as our brand guidelines allow. Don't change our logo or register domains, accounts or handles that include our name.

This permission ends when your affiliate account ends.

We watch for self-referrals, duplicate accounts, fake clicks and other abuse. When something looks wrong, we may hold the affected commissions while we review it.

Commissions earned through fraud or a breach of these Affiliate Terms are void, and we may recover any that were already paid.

You can leave the program at any time from your affiliate settings or by emailing [email protected].

We may suspend or close your affiliate account if you breach these Affiliate Terms, if we suspect fraud, or if we end the program. While suspended, your links stop crediting new referrals and you earn no new commissions.

When your affiliate account closes for a reason other than fraud or a breach, we will pay commissions already earned once they become available and reach the minimum payout, or within 90 days if we end the program. Referrals stop earning new commissions when your account closes.

We may change these Affiliate Terms, the Program Details or the program itself. We'll give you notice of material changes by email or in your dashboard, and may ask you to accept the new terms before you keep earning. Changes don't affect commissions already recorded.

If you don't agree with a change, you can leave the program.

We handle your information as described in our Privacy Policy. Your dashboard shows limited information about the businesses you refer. You may not use it for anything other than tracking your referrals, or try to identify or contact referred customers through it.

The program is provided as is. We don't promise any level of earnings, and we aren't liable for lost commissions caused by tracking failures beyond our reasonable control, such as browsers blocking cookies.

The limits of liability, disclaimers, governing law and dispute terms in our Terms of Service apply to these Affiliate Terms. Our total liability to you under the Affiliate Program won't exceed the commissions paid or owed to you in the 12 months before the claim.
